General Risk Disclosure
Trading, holding, and using digital assets (including cryptocurrencies, tokens, and other blockchain-based assets) carries substantial risk. Before using iCloser's Services, you should carefully consider whether such activities are suitable for you in light of your financial condition, risk tolerance, and investment objectives.
Market and Volatility Risk
Extreme Price Volatility: Digital asset prices can fluctuate dramatically within short periods. Prices may increase or decrease by 10%, 20%, 50%, or more in a single day.
- Market prices are influenced by supply and demand, speculation, regulatory developments, technological changes, and macroeconomic factors
- Past performance is not indicative of future results
- There is no guarantee that any digital asset will maintain its value
Liquidity Risk
Digital assets may have limited liquidity, making it difficult to buy or sell at desired prices:
- Some digital assets have low trading volumes and may be difficult to sell quickly
- Market disruptions or technical issues may prevent you from accessing or trading your assets
- Withdrawal restrictions may apply during periods of high volatility or system maintenance
Regulatory and Legal Risk
The regulatory environment for digital assets is evolving and uncertain:
- New laws or regulations may restrict or prohibit digital asset activities
- Regulatory actions may negatively impact the value or usability of digital assets
- Tax treatment of digital assets varies by jurisdiction and may change
- Legal status of certain digital assets may be unclear or disputed
- Services may be restricted or unavailable in certain jurisdictions, including jurisdictions where the iCloser iOS application is not currently distributed

As a Colorado-based company, iCloser operates under specific state regulatory frameworks:
- Money Services: iCloser Ltd. is registered with FinCEN as a Money Services Business (MSB). State-specific requirements may affect service availability or terms
- Investment Advice: AgentFI services are subject to Colorado Division of Securities oversight and may be limited or modified based on regulatory guidance
- Privacy Rights: Colorado Privacy Act provides consumers with specific data rights that may affect how services are delivered
- Consumer Protection: Colorado Consumer Protection Act (C.R.S. § 6-1-101) provides additional consumer rights and remedies
Technology and Security Risk
Digital assets and blockchain technologies are subject to various technical risks:
- Cybersecurity Threats: Hacking, phishing, malware, and other attacks may result in loss of assets
- Private Key Loss: Loss of private keys or recovery phrases results in permanent loss of access to assets
- Smart Contract Bugs: Errors in smart contract code may lead to loss of funds
- Network Failures: Blockchain network congestion, forks, or failures may disrupt transactions
Irreversibility of Transactions
Blockchain transactions are generally irreversible:
- Once a transaction is confirmed on the blockchain, it typically cannot be reversed or canceled
- Sending assets to an incorrect address may result in permanent loss
- iCloser cannot reverse blockchain transactions or recover lost assets

AgentFI Disclaimer: The AgentFI service is a permissioned workflow preview interface for informational and execution-assistance purposes only. AgentFI does not constitute personalized investment advice, and does not initiate any movement of customer balances without explicit, user-confirmed authorization. Users retain full control over permissions and approval flows at all times. Users should consult with qualified professionals before making investment, tax, legal, or financial decisions.
VA Account Technical Service Fee
Fee Disclosure: A one-time VA Account Technical Service Fee of USD $99.99 is charged upon successful provisioning of approved USD virtual account credentials (ACH routing number, Fedwire ABA, SWIFT/BIC where available). This fee covers the technical and compliance infrastructure required to request and provision dedicated USD virtual account credentials through an authorized financial partner.
- This fee is non-refundable upon successful account provisioning
- If provisioning fails due to an iCloser technical error, a full refund will be issued within 10 business days
- If provisioning cannot be completed due to a compliance or eligibility determination, $94.99 will be refunded within 10 business days; $5.00 is retained to cover processing costs
- This fee is a technology service charge, not a deposit, investment, or financial product
- Payment of this fee does not guarantee approval of any VA, card, or partner-supported financial service
Foreign Exchange and Multi-Currency Risk
iCloser's platform supports multi-currency transactions and digital asset conversions. Users should be aware of the following foreign exchange risks:
- Indicative Rates: Foreign exchange rates displayed in the application (including HKD and other currency pairs) are indicative rates provided for reference only. Actual transaction rates may differ at time of execution due to market movement, liquidity, and partner spreads.
- USD-Only VA Credentials: Virtual Account (VA) credentials issued at launch support USD transactions only. Non-USD settlement attempts may be subject to conversion, additional fees, or rejection by the receiving institution.
- Stablecoin Conversion Risk: Conversion between digital assets (e.g., USDT, USDC) and fiat currency involves rate risk and may be subject to slippage, network fees, and liquidity constraints.
- Cross-Border Settlement: SWIFT international settlement may be subject to correspondent institution fees, currency conversion costs, and delays that are outside iCloser's control.

No Guaranteed Returns
⚠️ iCloser does not guarantee any returns on investments or digital asset holdings. Any projections, forecasts, or estimates are for informational purposes only and should not be relied upon.
Limited Recourse
Digital assets generally lack the protections available for traditional financial products:
- Digital assets are not insured by FDIC, SIPC, or similar programs (except where explicitly stated)
- There may be limited or no recourse in case of loss, theft, or disputes
- Consumer protection laws may not apply to digital asset transactions
Colorado Consumer Rights: Colorado residents retain certain statutory rights under state law, including the right to file complaints with the Colorado Attorney General or Colorado Division of Securities. These rights cannot be waived by contract.

- iCloser is not liable for losses resulting from market conditions, regulatory changes, or other factors beyond our control
